Terms of Use and Sale

Effective October 7, 2026

These Terms of Use and Sale (the “Terms”) govern your access to bondbiomeds.com, the Bond Biomeds professional portal, and any related accounts, content, communications and ordering features (together, the “Site”) operated by Bond Biomeds, LLC (“Bond,” “we,” “us”). They also govern every order placed through the Site unless you and Bond have signed a separate written agreement covering the same subject.

Professional-use notice: the Site is a business-to-business resource for qualified professionals and organizations only. It is not directed to patients or consumers, and Bond does not provide medical advice, prescriptions, diagnosis, treatment, compounding or dispensing services.

01Agreement and authority

By browsing the Site, applying for or using an account, checking an acceptance box, or placing an order, you agree to these Terms and acknowledge our Privacy Policy. If you act on behalf of a practice or business, you confirm you are authorized to bind it, and “you” includes that organization.

You agree to receive contracts, notices and records electronically. A signed agreement, accepted purchase order or product-specific document may add to these Terms; where they conflict, the more specific signed or accepted document controls for that transaction.

02Who may buy

Bond sells only to Qualified Customers: licensed healthcare practitioners with a valid National Provider Identifier, and clinics, medical spas, wellness centers and other businesses that hold a valid state license or Employer Identification Number and that Bond has approved.

You must be at least 18 and purchasing for a genuine professional purpose. We may ask for verification at any time — including license details, business records, tax documentation or a statement of intended use — and may approve, deny, limit, suspend or revoke access for compliance, safety, fraud-prevention or supply reasons. Approving an account or order does not mean Bond has determined that any particular use is lawful or appropriate.

03Product status and permitted use

Each product may be used only as permitted by its label, specifications, Certificate of Analysis and other written materials from Bond, and only in compliance with every law, regulation, professional standard and licensing requirement that applies to you.

Unless Bond states otherwise in writing for a specific product, products are not represented as approved drugs, compounded drugs, dietary supplements, foods, cosmetics or medical devices, and are not offered for personal or household use. “For professional use only” limits who may buy and how products may be used; it is not a statement that a product is authorized for any clinical, therapeutic or other use.

You are solely responsible for obtaining any licenses, approvals, protocols, consents and professional oversight your activities require. You may not:

  • remove, cover, alter or replace any label, lot number, date, storage instruction, warning or Certificate of Analysis;
  • adulterate or misbrand a product, or repackage or relabel it except under a white-label agreement with Bond;
  • make unsupported safety, efficacy, disease or therapeutic claims about a product; or
  • suggest that Bond endorses any use, protocol, service or downstream product it has not approved in writing.

04No medical or regulatory advice

Site content is general business information. It is not medical, clinical, pharmacy, legal or regulatory advice and does not replace your independent professional judgment or advice from qualified counsel. Bond does not form a patient relationship, recommend treatment or dosing, compound patient-specific preparations or dispense medication. References to research or analytical results are not claims that a product is safe, effective or suitable for any use.

05Your account

Keep your application and account information complete and current. Accounts may not be shared, transferred or opened using someone else's credentials. You are responsible for all activity under your login and must tell us promptly at info@bondbiomeds.com about any suspected unauthorized access or any change affecting your eligibility.

06Product information and availability

We work to keep product information accurate, but descriptions, images, strengths, availability, packaging and pricing can change and may contain errors. Images are for illustration. The label and documents shipped with a product control over general Site content. We may correct errors, limit quantities or discontinue products without notice.

07Orders, acceptance and cancellation

Product listings are invitations to order, not offers. When you submit an order you make an offer to buy on these Terms. The confirmation email confirms receipt only; an order is accepted when Bond confirms payment, ships the order, or otherwise confirms acceptance. We may decline or cancel any order before acceptance, including for verification, compliance, pricing, inventory or payment reasons.

You may ask to cancel an order before it ships. Cancellation takes effect only when Bond confirms it. Custom, white-label and specially sourced orders may not be cancellable. If Bond cancels a paid order, we will refund the amount paid for the cancelled items.

08Pricing, taxes and payment

Prices are in U.S. dollars, are shown only to approved accounts and exclude taxes and shipping unless stated. You are responsible for applicable taxes; tax-exempt customers must provide valid documentation before ordering.

Orders are paid by Zelle, ACH or wire transfer using the instructions provided at checkout, with your order number as the payment reference. Orders not paid within the payment window shown at checkout may be cancelled and any reserved stock released. We may screen transactions for fraud, identity and sanctions risk. If additional payment methods are offered later, their terms will be shown at checkout.

09Shipping, title and risk of loss

Ship dates and transit times are estimates. Delays caused by carriers, weather, supply, government action or incorrect address information are not a breach by Bond. You must provide a secure, lawful delivery address where trained staff can receive the shipment promptly.

Unless an accepted order says otherwise, title and risk of loss pass to you when Bond hands the shipment to the carrier. Bond may choose the carrier and service level.

10Inspection, returns and refunds

Inspect every shipment as soon as it arrives, keep all packaging, and report damage, shortages or incorrect items as described in our Refund Policy before using or altering the product. Because product integrity and chain of custody cannot be confirmed after delivery, all sales are final except as provided in the Refund Policy, and no product may be returned without Bond's written authorization.

11Storage, handling and safety

After delivery you are responsible for qualified personnel, secure storage, appropriate temperature conditions, handling, chain of custody, disposal and record-keeping. Follow all product-specific instructions, and set aside any product you suspect is damaged, mislabeled, contaminated or tampered with. You agree to cooperate promptly with any safety notice, withdrawal, recall or traceability request from Bond.

12Resale, distribution and export

You may not resell, distribute, transfer, relabel, repackage or export products — or sell them to patients, consumers or unverified buyers — except under a separate written agreement with Bond (such as a white-label agreement) and in compliance with applicable law, including U.S. export controls and sanctions.

13White-label programs

Private-label products are provided under a separate quote and written agreement setting out minimums, fees, artwork approval and lead times. You are responsible for the accuracy and legal compliance of your brand name, artwork and labeling, and you grant Bond permission to reproduce your marks solely to fulfil your orders.

14Communications

We send transactional messages about your account, applications, orders, payments, safety and security. Marketing emails include an unsubscribe link; unsubscribing does not stop transactional or safety messages. Consent to marketing is never a condition of purchase.

15Intellectual property

The Site and its content — including the Bond name, logos, product names, images, text, layouts and software — belong to Bond or its licensors. We grant you a limited, revocable, non-transferable license to use the Site for your internal, lawful business purposes. You may not copy, scrape, frame, modify, redistribute or commercially exploit the Site or its content, or use Bond's marks, without written permission.

16What you submit

Do not submit patient information, protected health information or confidential third-party data. You confirm you have the right to share whatever you submit, and you allow Bond to use it to evaluate eligibility, operate the Site, fulfil orders and meet legal obligations. Feedback you choose to give may be used by Bond without restriction or compensation.

17Prohibited conduct

You may not:

  • break any law, professional standard, sanction or export rule, or infringe anyone's rights;
  • misrepresent your identity, license, authority, intended use or eligibility;
  • seek products for personal or other prohibited use;
  • get around account, eligibility, purchasing or security controls;
  • introduce malware, probe for vulnerabilities, or access systems or data without permission;
  • scrape or harvest Site data by automated means without written permission; or
  • help anyone else do any of the above.

18Third-party services

The Site relies on third parties such as hosting, email delivery, banks, carriers and the public NPI registry, and may link to outside sites. Those services follow their own terms and privacy practices; Bond is not responsible for them, and a link is not an endorsement.

19Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” AND BOND DISCLAIMS ALL EXPRESS, IMPLIED AND STATUTORY WARRANTIES, INCLUDING ACCURACY, AVAILABILITY, NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

EXCEPT FOR ANY EXPRESS WRITTEN PRODUCT WARRANTY ISSUED BY BOND, PRODUCTS ARE SOLD “AS IS” AND BOND DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. NO STATEMENT ON THE SITE, IN SALES COMMUNICATIONS OR IN ANY CERTIFICATE CREATES A WARRANTY UNLESS BOND EXPRESSLY STATES SO IN WRITING.

20Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BOND AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS AND SUPPLIERS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, LOST PROFITS, LOST DATA OR BUSINESS INTERRUPTION, OR FOR CLAIMS ARISING FROM YOUR DOWNSTREAM USE OF PRODUCTS.

BOND'S TOTAL LIABILITY FOR ANY CLAIM RELATING TO A PRODUCT OR ORDER WILL NOT EXCEED THE AMOUNT YOU PAID BOND FOR THAT PRODUCT OR ORDER, AND FOR CLAIMS RELATING ONLY TO USE OF THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). THESE LIMITS APPLY EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE, EXCEPT WHERE THE LAW DOES NOT ALLOW THEM.

21Indemnification

To the extent permitted by law, you will defend, indemnify and hold harmless Bond and its owners, officers, employees, contractors and suppliers from any claims, losses, penalties, recall costs and reasonable attorneys' fees arising from your breach of these Terms; your storage, handling, marketing, resale, administration, use or disposal of products; your professional services; your violation of law or third-party rights; or information you submit.

22Suspension and termination

Bond may suspend or close accounts, or cancel pending orders, when reasonably necessary to enforce these Terms, comply with law, address safety or security, or prevent fraud or diversion. Provisions that by their nature should continue — including payment obligations, use restrictions, disclaimers, liability limits and indemnities — survive termination.

23Events beyond our control

Bond is not responsible for delays or failures caused by events beyond its reasonable control, such as natural disasters, severe weather, public-health events, labor disputes, cyberattacks, utility or carrier failures, supply shortages, government action or changes in law. In those situations we may allocate available supply among customers fairly.

24Governing law and disputes

These Terms are governed by the laws of [State], without regard to conflict-of-law rules; the U.N. Convention on Contracts for the International Sale of Goods does not apply. Before filing suit, each party will give the other written notice and 30 days to resolve the dispute in good faith, except for urgent injunctive relief, intellectual-property misuse, security incidents, fraud or collection of undisputed amounts. The state and federal courts located in [County], [State] have exclusive jurisdiction.

TO THE EXTENT PERMITTED BY LAW, EACH PARTY WAIVES THE RIGHT TO A JURY TRIAL IN ANY ACTION RELATING TO THESE TERMS, THE SITE, PRODUCTS OR ANY ORDER.

25Changes

We may update the Site and these Terms. Updated Terms take effect when posted with a new effective date, and continued use means you accept them. Changes do not affect orders already accepted unless you agree.

26General

These Terms, the Privacy Policy, product documents, accepted order terms and any signed agreement make up the entire agreement between you and Bond. If any provision is unenforceable, the rest remains in effect. Not enforcing a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, financing or sale of assets. Nothing here creates a partnership, agency, employment, franchise or patient relationship, and there are no third-party beneficiaries.
